The boards of directors of a not-for-profit corporation can make for curious and challenging litigation clients. Special issues commonly encountered include cliques, conflict of interest, self-interest, confidentiality breaches, hidden agendas and alliances, maintaining attorney-client privilege, gaining trust, managing dissent, managing the rumor mill, and maintaining continuity from one board election cycle through the next. This presentation will explore these client dynamics, and will offer tactics to minimize disruption and discord, while there's also an actual adversary out there to be dealt with.

Jonathan S. Ziss is a partner in Goldberg Segalla’s Philadelphia office. He chairs the firm’s Professional Liability Practice Group, and is a member of its Commercial Litigation and Cyber Risk Practice Groups. Jonathan devotes much of his practice to the representation of professionals, including accountants, attorneys, bankers, design professionals, insurance agents/brokers, directors and officers, and fiduciaries, in administrative and civil proceedings.
